General Terms and Conditions (AGB) for Rise Founders events UG
§ 1 Scope of Application (Geltungsbereich)
These General Terms and Conditions ("AGB") apply to all services provided by RiseFounders Event UG ("Organizer", “FOUNDRISE”, "we", "us", "our") to Participants ("Delegate", “Founder”, “Sponsor”,"you", "your") attending events organised by Rise Founders events UG. These AGB are the Agreements between the Organizer and Participants for events and other services, regardless of the event location within Europe or internationally.
By registering for any service or an event, you acknowledge that you have read, understood, and agree to be bound by these AGB. These terms supersede any conflicting terms in promotional materials or other communications, except where expressly agreed otherwise in writing.
§ 2 Event Participation & Program (Event-Teilnahme & Programm)
2.1 Program Objectives
Our events and services aim to support founders in preparing for investment through workshops, mentorship, and networking opportunities. Each event is designed to enhance participants' business acumen and investment readiness.
2.2 Venue
Events are held at specified locations with scheduled activities provided by the Organizer. Costs connected with accommodation and scheduled activities are included in the participation fee, unless agreed otherwise.
2.3 Active Participation Requirement
The participant agrees to actively engage in all sessions, workshops, and networking activities as part of the program. Full participation is essential for maximising the benefits of the event.
2.4 Registration Process
Registration for the events must be completed in coordination with authorised representatives. All registrations are subject to availability and acceptance by the Organizer.
§ 3 Participation Fee & Payment (Teilnahmegebühr & Zahlung)
3.1 Fee Structure
The participation fee for each event is as specified in the individual invoice received by the participant.
3.2 Payment Terms
The participation fee must be paid in full to secure participation and is due within 3 working days from the moment of invoice receipt.
3.3 Payment Methods
We accept payments via bank transfer. All payments must be made in the currency specified in the invoice.
3.4 Cancellation and Refund Policy
The paid fees for the participation are non-refundable.
§ 4 Travel & Expenses (Reise & Ausgaben)
4.1 Participant Responsibility
The Participant is responsible for their own travel arrangements and any other associated costs which are not covered by the respective invoice issued to the participant.
4.2 Travel Disruptions
The Organizer is not liable for any travel disruptions, visa issues, flight cancellations, or additional expenses incurred by the Delegate in connection with their travel arrangements.
4.3 Travel Insurance
We strongly recommend that participants obtain comprehensive travel insurance to cover potential travel disruptions, cancellations, and associated costs.
4.4 Visa and Documentation
Participant are responsible for ensuring they possess all necessary travel documents, including valid passports and visas where required for the retreat location.
§ 5 Code of Conduct (Verhaltenskodex)
5.1 Professional Behaviour
The Participant agrees to behave professionally and respectfully towards all attendees, mentors, staff, and venue personnel throughout the event duration.
5.2 Misconduct Consequences
Any misconduct, harassment, disruptive behaviour, or conduct that endangers other participants or staff may result in immediate removal from the event without refund of the participation fee.
5.3 Compliance with Local Laws
Delegates must comply with all applicable local laws and regulations at the retreat location and during all retreat activities.
5.4 Substance Policy
Delegates are expected to maintain professional standards regarding alcohol consumption and are prohibited from using illegal substances during the retreat.
§ 6 Liability & Indemnity (Haftung & Schadloshaltung)
6.1 Limitation of Liability
The Organizer shall not be liable for any injury, loss, damage, or expenses incurred by the Participants during the event. The organizer, hereby, makes no guarantees, representations or warranties of any kind or nature, express or implied, with respect to the services negotiated, agreed upon and rendered, including but not limited to obtaining investment for the business of the participant.
6.2 Indemnification
The participant indemnifies and holds the Organizer harmless from any claims, damages, losses, or expenses arising from their participation in the retreat, including but not limited to personal injury, property damage, or third-party claims.
6.3 Maximum Liability
Where liability cannot be excluded by law, the Organizer's total liability for any claim shall not exceed the total participation fee paid by the participant for the specific retreat.
6.4 Third-Party Services
The Organizer excludes liability for acts or omissions of third parties, including accommodation providers, transport operators, activity providers, or other service providers engaged for the retreat.
6.5 Excluded Liability
The Organizer is not liable for:
- Damages arising from non-compliance with participant’s own obligations
- Damages caused by third-party service providers (hotels, transport, etc.) acting independently
- Loss of business opportunities or indirect damages, except in cases of gross negligence
6.6 Participant Responsibilities
6.6.1 Participants must take reasonable precautions for their personal safety and property.
6.6.2 Participants are liable for damages they cause to the Organizer, other participants, or third parties through their conduct.
§ 7 Confidentiality (Vertraulichkeit)
7.1 Confidential Information
The Delegate acknowledges that confidential information may be shared during the retreat, including proprietary business information, personal information of other participants, and Rise Founders Event UG business methods and strategies.
7.2 Confidentiality Obligations
Participants agree to maintain strict confidentiality regarding all confidential information disclosed during the retreat and among other participants. Such information shall remain confidential for a period of one year after the completion of the retreat.
7.3 Duration of Obligations
Participants acknowledge that any information shared during the retreat and among the other participants remains confidential for 3 years after the completion of the retreat, unless information becomes publicly available through no breach by the Delegate.
7.4 Exceptions
Confidentiality obligations do not apply to information that is publicly available at the time of disclosure or becomes publicly available through no fault of the Delegate.
§ 8 Feedback and Review (Feedback und Bewertung)
8.1 Direct Communication Requirement
All participants shall first settle any feedback, concerns, complaints, and disagreements with the organizers directly through official channels before pursuing any other course of action.
8.2 Prohibition of Defamatory Conduct
Participants are strictly prohibited from spreading rumours, false information, or defamatory statements about Rise Founders events UG, its programs, staff, or other participants, whether among other participants or online through any medium including social media platforms, review websites, or professional networks.
8.3 Legal Consequences
Deviation from this clause constitutes a material breach of these AGB and may be penalised under applicable German laws, including but not limited to provisions relating to defamation, unfair competition, and breach of contract. The Organizer reserves the right to pursue all available legal remedies.
8.4 Constructive Feedback
Organizers welcome constructive feedback provided through appropriate channels and will address legitimate concerns in good faith through direct communication.
§ 9 Media Release & Intellectual Property (Medienfreigabe & Geistiges Eigentum)
9.1 Comprehensive Media Consent
All participants agree that during the events, organizers may capture photographs, videos, audio recordings, and other media material featuring participants. Participants hereby give their express consent for organizers to publish, distribute, and use such material in public, including but not limited to marketing materials, promotional content, website publications, social media, and any other commercial or non-commercial purposes.
9.2 Unrestricted Usage Rights
By participating in an event, participants grant the organizers perpetual, worldwide, royalty-free rights to use their image, likeness, voice, and any statements or contributions made during the retreat for promotional, educational, and commercial purposes without further consent or compensation.
9.3 Organizer Materials
All materials provided during retreats, including presentations, handouts, recordings, and proprietary methodologies, remain the exclusive intellectual property of the Organizer or licensed partners.
9.4 Usage Rights
Participants receive limited, non-transferable rights to use provided materials solely for personal, non-commercial purposes related to their professional development.
9.5 Restrictions
Participants may not reproduce, distribute, commercialise or share retreat materials or proprietary methodologies with third parties without express written permission.
9.6 Withdrawal of Consent
Delegates may withdraw consent at any time by providing 30 days written notice. Withdrawal applies to future usage only and does not affect previously published materials.
9.7 Reasonable Accommodation
RiseFounders Event UG will make reasonable efforts to accommodate Delegates who prefer not to appear in promotional materials, subject to practical limitations of group activities.
§ 10 Data Protection (Datenschutz)
10.1 GDPR Compliance
The Organizer processes personal data in accordance with the General Data Protection Regulation (GDPR) and applicable German data protection laws.
10.2 Data Collection and Use
We collect and process personal data necessary for retreat registration, administration, communication, legal compliance, and marketing communications (with consent).
10.3 Data Sharing
Personal data may be shared with venue operators, service providers, payment processors, and legal authorities when required by law.
10.4 Participant Rights
Participants have rights under GDPR including access, rectification, erasure, portability, and objection to processing. Detailed information is available in our Privacy Policy.
§ 11 Program Changes & Event Cancellation(Programmänderungen & Stornierung)
11.1 Organizer's Right to Modify
The Organizer reserves the right to modify event programs, schedules, locations, or facilitators due to circumstances beyond our control, including speaker availability, venue issues, or regulatory requirements.
11.2 Organizer Cancellation
The Organizer may cancel events due to insufficient enrollment, force majeure, or other circumstances beyond our control. In such cases, Delegates will receive full refunds of participation fees.
11.4 Force Majeure
11.4.1 Definition
Force Majeure includes events beyond reasonable control of either party:
- Natural disasters (earthquakes, floods, severe weather)
- Government actions (travel bans, lockdowns, visa restrictions)
- Public health emergencies (pandemic declarations, quarantine requirements)
- War, terrorism, civil unrest
- Infrastructure failures (airport closures, transport strikes)
11.4.2 Notification and Mitigation
The affected party must promptly notify the other party and take reasonable steps to mitigate the impact.
11.4.3 Consequences
- Event postponement with new dates offered within 12 months
- Full refund if postponement not acceptable to Delegate
- No liability for additional costs incurred by either party
§ 12 Termination (Kündigung)
12.1 Grounds for Termination
The Organizer may terminate a Participant's participation immediately for breach of these AGB, misconduct, disruptive behaviour, or conduct that endangers other participants or staff.
12.2 Consequences of Termination
Terminated Participants forfeit all participation fees paid without refund, must leave the retreat venue immediately, and remain bound by confidentiality obligations.
12.3 No Liability for Termination
The Organizer bears no liability for costs or damages resulting from justified termination of participation.
§ 13 Governing Law & Dispute Resolution (Anwendbares Recht & Streitbeilegung)
13.1 Governing Law
Participants acknowledge that despite the location where events take place, whether within Germany, Europe, or internationally, these events and all related documents are governed exclusively by the applicable laws of Germany, excluding conflict of law principles and the UN Convention on Contracts for the International Sale of Goods.
13.2 Jurisdiction
The courts of Munich, Germany have exclusive jurisdiction over all disputes arising from or relating to these AGB or retreat services, regardless of the retreat location.
13.3 Alternative Dispute Resolution
Before initiating court proceedings, parties agree to attempt resolution through mediation conducted by a mutually agreed mediator or mediation service.
§ 14 Miscellaneous (Sonstiges)
14.1 Severability
If any provision of these AGB is found invalid or unenforceable, the remaining provisions continue in full force and effect. Invalid provisions shall be replaced by valid provisions that most closely achieve the intended economic purpose.
14.2 Entire Agreement
These AGB, together with the participation invoice constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements.
14.3 Amendments
Amendments to these AGB must be in writing and signed by authorised representatives of both parties. The Organizer may update these AGB for future retreats with reasonable notice.
14.4 Assignment
Participant may not assign or transfer their rights or obligations under these AGB without the Organizer's prior written consent.

14.6 Language
These AGB are prepared in English. In case of conflicts between language versions, the English version shall prevail.
14.7 Effective Date
These AGB are effective as of 19 July 2025 and apply to all events happening on or after this date.
